1.1 PLEASE READ THE TERMS OF SERVICE (REFERRED TO AS“DOCUMENT”) CAREFULLY BEFORE ENJOYING THE INFORMATION AND SERVICES , AND PAY PARTICULAR ATTENTION TO THE CLAUSES OF DISCLAIMER OR LIMITATION OF LIABILITY WHICH MAY BE WRITTEN IN BOLD.

1.2 Xi'an NovaStar Tech Co., Ltd. (referred to as"NovaStar",”we”, “us”,”our”) agrees to provide NCE website service (referred to as "service") in accordance with the terms and conditions of this document with its updated versions.

1.3 "User" mentioned in this document is referred to as "you" who use or accesse to NCE service through yourself or your designated authorized representatives.

You must ensure that your authorized representatives have sufficient authorization. All operations of your authorized representatives in the platform represent your actions , and the corresponding legal consequences shall be borne by you.

1.4 By using the NCE service, include but not limited to logging in NCE website, clicking "Sign Up And Create Account", you acknowledge and agree that you have read, understood, and agreed to be bound by this document. Your use of the service is subject to the terms and conditions contained in this document. You could not use the service if you do not agree to and accept all of the terms. By continuing to use the service, you agree to be bound by the amended and restated Terms.

1.5 You recognize that this document may change from time to time and agree that any such change will not affect the applicability of this document if you continue to use the service.

2. Account Application and Use of Service

2.1 If you want to use NCE service, you need to submit an application to NovaStar for a NCE account (referred to as “main account”) by filling in some account information. After the account is created, you need to complete your information. You shall change the initial password as soon as possible after obtaining an account to ensure security.

2.2 NCE account cannot be transferred, lent, sold, gifted or inherited.

2.4 You can use NEC service only by yourself and you may not transfer, delegate or make available the service to any third party, whether for money, for any other forms of consideration or for free. You shall obtain the main account name and password for NCE service from an authorized representative designated by NovaStar. Any other third party that is not authorized by NovaStar is not entitled to provide the main account name and password for NCE service.

2.5 NovaStar does not guarantee the function and normal use of the account obtained from any unauthorized third party and shall not be responsible for the losses caused thereby.

3. Provisions of Service

3.1 The service mentioned in this document refers to the remote publishing management through NCE service.

3.2 NovaStar only provides service related to NCE. The equipment related to network service (including but not limited to mobile phones and tablets used for accessing the Internet or mobile networks) and the required fees (including but not limited to the telephone charges, Internet charges, and other related expenses paid for accessing the Internet) shall be paid by you.

4. Protection of Personal Information

4.1 NovaStar respects and protects your personal data. NovaStar shall not process your personal information without legitimate basis.

4.2 During your use of this service, NovaStar may collect information that you provide or generated from your use of the service for the purpose of providing you with service, optimizing our service, and ensuring your account security etc.

4.3 NovaStar takes various technical and organizational measures to keep your information safe, including but not limited to encrypted storage and transmission, so as to avoid unauthorized access, use or disclosure.

4.4 For more detailed information about how we process, use, store, protect, disclose or transfer your personal data, please refer to Privacy Policy.

5. Terms of Use

5.1 NovaStar shall not be liable for any consequences for the disclosure or leakage of your account information due to your own unreasonable custody,lending your account to a third party or hacking. If you find your account information is used by others without your permission, notify NovaStar promptly. NovaStar will take effective measures based on the actual situation. But you shall acknowledge that it may take time for NovaStar to take corresponding measures.

5.2 All operations issued through your NCE account are deemed as operations issued by you.

5.3 The following provisions shall be complied with when you use our service, otherwise you should be liable for any consequences caused hereby:

5.3.1 You shall comply with the relevant laws and regulations of the country you reside.

5.3.2 You shall not use NCE website for any illegal purpose.

5.3.3 You shall not use NCE website for the purpose of infringing on the rights and interests of NovaStar.

5.3.4 You shall not use NCE website for actions adverse to the normal operation of Internet, mobile network or other networks.

5.3.5 You shall not infringe on others’ patent right, copyright, trademark right, right of reputation or other lawful rights in any way or for any purpose.

5.3.6 You are prohibited from cracking the codes.

5.4 You have the right to upload or publish the text, pictures ,videos or other content via NCE .You guarantee that the content you upload or post will comply with the relevant laws and regulations of People's Republic of China and the country where you reside .You acknowledge and agree that the content uploaded or post must not contain the following:

5.4.1 Content that incites or promotes terrorism, crime, or other types of behavior that cause harm or threatens public safety.

5.4.2 Content that advocates for, directs, or encourages other people to commit violence or criminal activities.

5.4.3 Content that promotes acts of physical harm, human exploitation, illegal trade of wildlife or breaking the law in any way.
self-injury,or eating disorders.

5.4.5 Content that depicts or promotes sexual exploitation or nudit.

5.4.6 Content that violates or infringes someone else’s copyrights,trademarks,or other intellectual property rights.

5.4.7 Content that involves someone else’s private or confidential information without their permission.

5.5 When enjoying NCE service, you can choose not to provide some information or delete some information according to your own needs. But this may cause the related service functions not to be implemented.

6. Intellectual Property Rights

6.1 This website independently owns or jointly owns, together with relevant content providers, the copyright of all materials within this website (including but not limited to educational resources, texts, pictures, audio and video materials, as well as page design, layout, software, etc.).

6.2 You guarantee to own intellectual property rights or has obtained the legal license of the rights from licenser for the text, pictures or videos uploaded through NCE website, and at the same time, agrees to grant NovaStar a free license or have obtained the corresponding legal Sublicense Rights to license NovaStar to use the text, pictures or videos for realizing the cloud service purpose.

7. Disclaimer

7.1 While enjoying NCE service, you must comply with national laws, regulations, and policies. You shall be solely responsible for all consequences arising from your violation of relevant national laws, regulations, and policies during enjoying NCE service.

7.2 Any content uploaded or posted via NCE website and any views transmitted through NCE website do not represent the views or ideas of NovaStar. NovaStar is not accountable for the completeness, truthfulness, accuracy, legality, or reliability of the content you upload or post. In all circumstances, it is you, rather than NovaStar, who shall bear full legal responsibility for any damage or harm resulting from the publication and dissemination of the information.

7.3 NovaStar shall not be liable for any interruptions or other glitches on NCE service caused by force majeure or reasons beyond NovaStar's reasonable control. However, NovaStar will make every effort to reduce the losses and impacts caused thereby.

7.4 NovaStar shall not assume any liability in the event that notifications about NCE service cannot be delivered to you timely due to incorrect contact information provided by you.

7.5 NovaStar does not make any express or implied guarantees for the service, including but not limited to the applicability and continuity of the service.

7.6 Under no circumstances shall NovaStar be liable (regardless of the reason) for the following: (A) Any indirect, intentional, punitive, incidental, punitive, special or Consequential damages; (B) loss of business or opportunity; (C) loss of income; (D) loss of profit; (E) loss of goodwill; (F) loss of content; or (G) loss of data.

8. Liability for Breach

8.1 In the event that you violate relevant laws and regulations, the terms of this document ,or commit infringement, NovaStar has the right to independently decide and take measures to stop the transmission of information(including but not limited to implementing elimination measures to prevent the spread of information, saving relevant records and reporting them to the relevant competent authorities, etc.), interrupt service, restrict part or all of your account's functions, and permanently terminate your account as appropriate without assuming any liabilities.

8.2 In the event that you violate relevant laws, regulations or the terms of this document, you shall compensate for the damages caused thereby to NovaStar.

9. Amendments to the Agreement

9.1 NovaStar has the right to amend the terms and conditions of this document in its own discretion and then obtains your consent. You could check the latest version of this document on the webpage of NCE.

9.2 If you do not agree to the amendments to this document or any other updated version of this document, you have the right to stop using NCE service.

10. Governing Laws

10.1 This Terms of Service is governed by laws, regulations, policies, rules and judicial interpretation of People’s Republic of China.

10.2 The formation, validity, interpretation, modification, implementation, and dispute resolution of this document are applicable to the laws of People’s Republic of China.

10.3 Any dispute arising from this document shall be settled through friendly negotiation between the two parties, If Parties cannot reach consent, any disputes and differences shall be submitted to the Court at the place of NovaStar for exclusive jurisdiction.

11. Miscellaneous

11.1 If any provision of this document becomes partially invalid, completely invalid, or unenforceable for whatever reason, the remaining provisions shall still be valid and binding.

11.2 Headings contained in this document are for convenience only and shall not affect the interpretation of this document.
